This course provides the nuts and bolts about how “real world” venture capitalists operate. The class is taught by instructors who have financed hundreds of venture capital deals. The course opens with an engaging overview of the players in the venture capital arena. They define who participates in transactions; how entrepreneurs should go about raising money from a venture capitalists; and an insiders look at how venture capitalists think about deals. In addition to examining the necessary basics of the term sheet (and sometimes archaic provisions) it will demystify how VC firms operate and help entrepreneurs negotiate the best deal.

The course concentrates on the principles in the book “Venture Deals” by Brad Feld and Jason Mendelson published by John Wiley and Sons. Veteran venture capitalists, Brad and Jason are co-founders and Managing Directors of the Foundry Group, a venture capital firm in Boulder, Colorado. Brad has written several books as part of the Startup Revolution Series. The class features a unique video lecture format. Serial entrepreneur and Stanford Adjunct professor Clint Korver interviews Brad and Jason about the tenets of Venture Deals before a live student audience of experienced entrepreneurs.

By the conclusion of this course, students will be able to:
